Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the CorePay payroll and HR platform and related services (the “Service”). By creating an account or using the Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of an organisation, you represent that you have authority to bind that organisation.

1. Use of the Service

You may use the Service only in compliance with these Terms and all applicable laws. You are responsible for all activity under your account, for maintaining the confidentiality of your credentials and for ensuring that your users comply with these Terms.

2. Accounts & Subscriptions

Access to the Service requires an account and may require a paid subscription. You agree to provide accurate registration information and to keep it up to date. Subscription fees, billing cycles and plan limits are described at the point of purchase.

3. Fees & Billing

Subscription fees are billed in advance on a monthly or annual basis according to your plan and are non-refundable except where required by law. You may cancel at any time; access continues until the end of the current billing period. We may change fees with reasonable prior notice.

4. Your Data & Responsibilities

You retain ownership of the data you submit to the Service. You are responsible for the accuracy, quality and legality of that data and for verifying payroll results. CorePay performs calculations based on the configuration and data you provide and is not responsible for errors arising from incorrect input or settings. You must ensure your use complies with applicable tax, labour and data-protection laws.

5. Acceptable Use

You agree not to misuse the Service, including by attempting to gain unauthorised access, interfering with its operation, reverse-engineering it, uploading malicious code, or using it to store or transmit unlawful content.

6. Intellectual Property

The Service, including its software, design and content (excluding your data), is owned by CorePay and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription.

7. Service Availability

We strive for high availability but do not guarantee uninterrupted service. We may perform scheduled maintenance and will aim to give advance notice. We are not liable for losses resulting from downtime; we recommend keeping regular exports of your data.

8. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement, to the maximum extent permitted by law.

9. Limitation of Liability

To the fullest extent permitted by law, CorePay will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue or data. Our total liability for any claim relating to the Service will not exceed the fees you paid in the twelve months preceding the claim.

10. Termination

You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms or fail to pay fees. Upon termination, your right to use the Service ceases; we will make your data available for export for a reasonable period unless prohibited by law.

11. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated through the Service or by email, and continued use after the changes take effect constitutes acceptance.
